Trinidad Petroleum Holdings Limited is seeking an experienced and highly professional Corporate Secretary to serve as the Company’s principal governance officer. The role is responsible for ensuring full compliance with all statutory, regulatory, and governance requirements.
KEY RESPONSIBILITIES
- Ensure full compliance with and provide advice in respect to the various relevant legislative instruments, regulations, and applicable Government policies, directives, and circulars.
- Monitor adherence to Corporate Governance Codes, State Enterprise Performance Monitoring Frameworks, and Cabinet-approved and/or internal governance guidelines.
- Ensure timely statutory and regulatory filings with oversight ministries, Companies Registry, regulators, and statutory authorities.
- Plan, coordinate, and attend Board, Board Committee, and Shareholder meetings, including Annual and Special General/Shareholders’ Meetings.
- Draft, review, and maintain accurate minutes, resolutions, and records of Board and Board Committees decisions in accordance with public sector governance standards and good corporate secretarial standards and practice.
- Track Board decisions and ensure timely implementation and reporting.
- Guide Directors on conflicts of interest, declarations, recusals, and disclosure requirements.
- Support Board induction, orientation, and ongoing governance training.
- Act as primary liaison with Line Ministries, regulators, oversight bodies, and statutory agencies.
- Coordinate responses to regulatory inquiries, audits, and compliance reviews.
- Manage and maintain Codes of Conduct, whistleblower mechanisms, and conflict-of-interest registers.
- Support investigations, disciplinary processes, or governance reviews as required.
- Serve on the company’s PDAC
- Maintain statutory registers, corporate seals, official records and confidential documents, ensuring accuracy and accessibility.
- Perform all duties in conformance to appropriate health, safety, security and environmental policies and procedures.
- Perform any other related duties as required by the job function.
EDUCATION REQUIREMENTS
- Bachelor’s Degree in Law from a recognised institution
- Legal Education Certificate (LEC) or equivalent
- Admission to practice Law in Trinidad and Tobago
- Professional certification in Company Secretarial Practice or Corporate Governance
EXPERIENCE
- Minimum of 7 years’ experience in a corporate secretarial, governance, legal, or compliance role.
- Demonstrated experience supporting Boards in a regulated or public sector environment.
- Experience within a State Enterprise, statutory authority, or regulated industry would be an asset
- Familiarity with Government reporting, Cabinet submissions, and ministerial protocols would be an asset.
- Extensive knowledge of the Laws of Trinidad and Tobago and the laws and regulations pertinent to the operations of the Trinidad Petroleum Holdings Limited.

The Human Resources Manager will provide overall management and coordination of human resource activities and play an integral role in driving HR initiatives and strategies to support the attainment of the organisation’s strategic goals.
KEY RESPONSIBILITIES
- Collaborate with the General Manager to drive initiatives that promote organisational effectiveness, change management, conflict resolution and employee engagement.
- Lead the development and implementation of HR Strategies in alignment with the organisation’s goals.
- Review and analyse organisational and HRM data in order to provide a basis for human resource planning and the maintenance of a human resource management system.
- Collaborate with the General Manager to drive innovation, promote employee engagement, diversity and other people initiatives.
- Oversee full-cycle recruitment, hiring, on-boarding, performance management, and career development, including succession planning.
- Oversee the management of the disciplinary process by ensuring adherence to proper industrial relations practices and procedures prior to the initiation of disciplinary proceedings.
- Represent the organisation in matters before the Equal Opportunity Commission, Ministry of Labour and Industrial Court as required.
- Scan internal environment, identify areas of vulnerability and recommend appropriate industrial relations intervention strategies to reduce the organisation’s industrial relations risk.
- Develop and execute Project Plans for human resource strategic planning and other processes as required.
- Provide written advice and guidance regarding the application of HRM policies, procedures, rules and regulations.
- Conducts research into HRM and client satisfaction issues; analyses and evaluates data, and makes recommendations on the application of HRM policies and procedures and/or changes to be made.
- Prepare comprehensive reports, draft Cabinet/Ministerial Notes, internal notes, circulars, memoranda, statements of evidence and arguments and other documents related to employee relations and industrial relations matters.
- Monitor HR Reporting and Analytics to ensure efficiency and effectiveness throughout the organisation.
- Develop relevant HR policies and procedures, desk manuals, workflow charts and other organisational planning tools as required.
- Drive organisational change initiatives, ensuring effective communication and support for employees.
- Lead change management efforts to facilitate smooth transitions during periods of growth and transformation
- Design and review pay structures, benefits, and incentive programs.
- Perform all duties in conformance to appropriate health, safety, security and environmental policies and procedures.
Perform any other related duties as required by the job function.
EDUCATION REQUIREMENTS
- B.Sc. in Sociology, Psychology and/or Management from a recognised and accredited University.
- Masters’ Degree in Business Administration from a recognised and accredited University.
- Certificate in Labour Law.
- Certification in Mediation will be an asset.
- Certification in change management will be an asset.
EXPERIENCE
- At least 10 years’ experience in Human Resources Management at the executive level with a proven track record in strategic HR leadership.
- At least 5 years’ proven experience in practising employee and industrial relations.

The General Manager is accountable for the strategic leadership, operational performance, and financial sustainability of Paria’s terminal and product trading operations.
KEY RESPONSIBILITIES
1. Strategy, Governance & Performance Management
- Lead the strategic direction and long-term sustainability of Paria’s terminal and product trading operations in line with the Company’s mandate and Board-approved strategy.
- Translate national energy priorities and corporate objectives into actionable business plans, performance targets, and operating budgets.
- Work with the Board to develop and execute approved corporate and operational plans.
- Drive transformational initiatives to improve safety, reliability, asset utilisation, service delivery, and financial outcomes.
- Ensure disciplined financial management, margin optimisation, cost control, and value-for-money decision-making consistent with State Owned Enterprises (SOE) expectations.
2. Stakeholder, Government & External Relations
- Serve as a senior representative of Paria in engagements with Ministries, regulators, state agencies, suppliers, customers, and industry bodies.
- Build and maintain constructive stakeholder relationships in support of Paria’s objectives.
- Represent the Company in matters relating to ports, customs, environmental authorities, and other statutory bodies.
- Ensure timely, accurate, and transparent reporting to the Board and relevant oversight entities.
3. Health, Safety, Environment & Quality (HSEQ)
- Provide visible leadership in embedding HSEQ as a core organisational value across all terminal and trading operations.
- Ensure compliance with national legislation, international maritime and terminal standards, and industry best practices.
- Promote a “Safety First” culture, with zero tolerance for unsafe acts or conditions.
- Oversee emergency preparedness, incident management, and environmental performance improvement.
4. Commercial & Trading Oversight
- Provide executive oversight of trading activities to ensure security of supply, commercial prudence, and compliance with approved risk parameters.
- Identify and evaluate commercial opportunities aligned with Paria’s mandate, risk appetite, and governance framework.
- Oversee the administration of commercial contracts, ensuring compliance with legal, regulatory, and public-sector procurement requirements.
- Maintain robust controls over trading, inventory, and terminal operations to safeguard public assets and financial integrity.
5. People Leadership & Organizational Capability
- Lead and develop a high-performing senior management and executive team aligned with Paria’s values and performance expectations.
- Foster a culture of accountability, professionalism, collaboration, and ethical conduct.
- Partner with Human Resources and the Board to implement robust talent management, succession planning, and leadership development frameworks.
- Build workforce capability to support operational continuity and safety.
6. Leadership, Ethics & Compliance
- Uphold the highest standards of integrity, governance, and ethical conduct consistent with public-sector and SOE requirements.
- Ensure compliance with all applicable laws, regulations, policies, and Board directives.
- Maintain effective financial controls, risk management systems, and assurance mechanisms.
- Perform any other duties consistent with the scope and accountability of the role, as required by the Board.
EDUCATION REQUIREMENTS
- Bachelor’s degree in Engineering, Finance, Economics, Business, or a related discipline.
- MBA or equivalent postgraduate qualification from a recognised University.
EXPERIENCE
- Minimum of 20 years’ progressive leadership experience, including at least 10 years at senior executive level within the oil and gas, energy, terminal, or trading environment.
- Demonstrated experience operating within highly regulated environments, preferably within SOEs or comparable governance frameworks.
- Proven ability to engage effectively with Boards, government stakeholders, regulators, and commercial partners.
- Strong track record in managing complex operational, reputational, and non-technical risks.
- Board-level exposure or experience reporting directly to Boards within regulated or public-interest organisation.
