        Description

         

        The Senior Attorney-at-Law is responsible for providing support to the Vice President, Law & Corporate Affairs and the Legal Department in drafting and negotiating agreements, gathering information, researching the law, preparing opinions, legal documents, presentations, training and reports.  The jobholder is also required to identify, manage and limit the legal risk to the Atlantic Companies as well as their liability to third parties by ensuring that they act within a sound corporate governance framework, reporting structures and their statutory, regulatory and contractual requirements. The jobholder is also required to provide advice on legal issues facing the Companies and lends support to the Corporate Secretarial function in order to maximize the benefits under the Law and Corporate legal administration.

         

        DUTIES AND RESPONSIBILITIES

        1. Keeps the Company informed about legal developments and their probable implications for the Company’s business activities, including counseling management when changes or proposals for amendments in the law or relevant statutes occur.
        2. Negotiates and provides advice on Commercial, Plant-related and procurement matters of varying complexities concerning the Company’s operations.
        3. Reviews and drafts various legal documents relating to Company’s operations including contracts, agreements and deeds, as required.
        4. Provides legal support to cross-functional teams working on projects and advises on legal risks of the projects to the Company’s business and measures to be undertaken to reduce or mitigate these risks and supports the various departments in the development and drafting of corporate policies and procedures.
        5. Manages and oversees the Company’s defence and case management in litigation, mediation and/or negotiation and represents the Company in any application before the Environmental Commission and any other relevant body as required.
        6. Undertakes all activities required to (i) ensure that the real estate assets and intellectual property rights of the Atlantic Companies are properly vested, registered and protected and (ii) acquire/lease the necessary real estate assets or rights and intellectual property rights to facilitate the Company’s operations.
        7. Monitors and advises on the resolution of regulatory and ethical compliance issues raised through examinations, self-identified, by Internal Audit, or otherwise in a timely manner.
        8. Monitors and reports on company’s compliance with statutory and regulatory requirements and liaises with business and functional groups to provide guidance, expertise and oversight related to compliance issues.
        9. Performs or collaborates in performing investigations of potential ethical compliance issues and where required makes recommendations to close any identified gaps.
        10. Maintains a high level of knowledge of current and emerging ethics and compliance related laws, regulations, codes and standards and the tools and controls required to ensure continued adherence thereto.
        11. Provides advice, legal support and makes recommendations for improvement to issues relating to company policies including but not limited to Antibribery and Corruption.

        KNOWLEDGE & EXPERIENCE

        • A first degree in Law (LL.B.) and a Legal Education Certificate (L.E.C.) or equivalent from an accredited, recognised institution.
        • At least ten (10) years of relevant post qualification experience.
        • Knowledge of the Acts, regulations, instructions and guidelines pertaining to the energy sector and of the policies and practices of the energy sector.
        • Extensive knowledge of ethics and compliance related laws, regulations, codes and standards and best practice tools and controls required to ensure continued adherence thereto.
        • Sound knowledge of Company, Oil & Gas, Insurance, Environmental Law and Civil Litigation is required as well as significant experience in a corporate environment preferably in the energy sector.
        • Experience in the Court system will be an asset.

      JOB PURPOSE

       

      The Financial Controller is responsible for leading the financial affairs of the Company to ensure the integrity of financial reporting and records, in conformance with generally accepted accounting practices and statutory requirements. The jobholder also ensures the robustness of internal controls to mitigate against fraud, inaccurate reporting, material errors, and compliance with statutory and contractual requirements. The jobholder will also play a critical role in redefining and reshaping the Finance of the Future incorporating technology and transformational thinking.

       

      PRINCIPAL ACCOUNTABILITIES

      • Ensures that the financial processes and controls are sufficiently robust to mitigate against fraud, inaccurate reporting and material errors.
      • Manages the Financial Accounting team to facilitate the recording and reporting of the Company’s financial information and the external audit of the information therein.
      • Manages the Accounts Payable team in ensuring that supplier payments are made timely and accurately, for goods and services provided.
      • Ensures that customers are properly invoiced and collections are made in accordance with agreed timelines.
      • Assists Operations and Support functions in preparation of their budgets, and in analyzing actual vs budget variances.
      • Provides accounting professional standards input into the periodic updating of the Company’s Code of Ethics.
      • Manages the Taxation and Allocation team in carrying out their responsibilities to handle all taxation and payroll matters, and to manage revenue and receivables, and allocations based on gas supply contractual terms.

      KNOWLEDGE & EXPERIENCE

      • Certified in one of the following areas: ACCA, CIMA or CPA from a recognized, accredited institution.
      • A minimum of fifteen (15) years’ relevant experience with at least seven (7) years in an Accounting function at a senior / managerial level.
      • Relevant experience in energy related accounting software is an asset.
      • Experience in the development, implementation and management of Security Systems and processes.
      • Experience in transformational leadership.
